Terms of Service

These Terms of Service ("Terms") govern your use of the USA Warehouse website and services (the "Services"). By submitting a form, opening a card, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Who we are
USA Warehouse ("USA Warehouse", "we", "us") is a business-to-business brokerage that connects sellers holding excess inventory โ overstock, closeouts, customer returns, shelf-pulls and general merchandise โ with a network of bulk buyers, liquidators and wholesalers in the United States. We act solely as a broker and intermediary. We do not take title to, purchase, warehouse, or take possession of any merchandise.
2. Our services
- We "open a card" for your inventory: we list the details you provide and actively present your merchandise to buyers in our network.
- We introduce sellers and buyers, and we facilitate and help negotiate a transaction between them.
- The sale itself โ including transfer of goods, payment terms, shipping and inspection โ is a transaction between you and the buyer. You approve any deal before it proceeds.
3. Fees
- Card-opening fee: a one-time fee of $299 USD to open your card and begin marketing your inventory to our buyer network.
- Commission: a commission on the value of a completed sale, earned and payable only when a deal actually closes. Commission rates are agreed with you before a deal is finalized.
- The card-opening fee pays for our marketing and brokerage work, which begins as soon as your card is opened. Because that work is performed regardless of whether a buyer is ultimately found, the card-opening fee is non-refundable except where required by law.
4. No guarantee of sale
We work diligently to match your inventory with a buyer, but we do not and cannot guarantee that any particular item will sell, sell within a specific time, or sell at a specific price. Market conditions, pricing, condition and demand all affect outcomes.
5. Seller responsibilities
- You represent that you own the merchandise (or are authorized to sell it) and that you have the legal right to sell it.
- You will describe the merchandise โ quantity, condition, brands and value โ accurately and honestly.
- You will not offer counterfeit, stolen, recalled, hazardous, or otherwise illegal or restricted goods.
- You are responsible for fulfilling any sale you approve, including delivering the goods as described.
6. Buyers
Buyers who join our network agree to provide accurate business information and to deal in good faith. We may vet, accept or decline any buyer or seller at our discretion.
7. No title, no possession
We never take title to or possession of your goods. Ownership and risk of loss remain with you until the goods are sold and transferred to the buyer under the terms you approve.
8. Prohibited items and conduct
You may not use the Services to offer illegal, counterfeit, stolen, recalled, or hazardous goods, or to engage in fraud, misrepresentation, or any unlawful activity. We may suspend or terminate any card or account that violates these Terms.
9. Disclaimers
The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We are not a party to the sale contract between seller and buyer and are not responsible for the performance, quality, payment, or conduct of any seller or buyer.
10. Limitation of liability
To the maximum extent permitted by law, USA Warehouse will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or lost goods, arising out of or relating to the Services. Our total liability for any claim relating to the Services will not exceed the amount of fees you paid to us in the twelve (12) months before the claim.
11. Indemnification
You agree to indemnify and hold harmless USA Warehouse from any claims, damages, liabilities and expenses arising out of your merchandise, your transactions, or your breach of these Terms.
12. Governing law
These Terms are governed by the laws of the United States and the state in which USA Warehouse operates, without regard to conflict-of-laws principles. Any dispute will be resolved in the courts located in that jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the latest version, and continued use of the Services after changes take effect constitutes acceptance.
